Terms of Service

Please read these Terms of Service ("Terms") carefully before using the Vrailux website or any authentication services offered through it (collectively, the "Service"). This is a template and does not constitute legal advice — Vrailux should have these Terms reviewed by a qualified attorney before relying on them.

1. Acceptance of Terms

By creating an account, submitting an item, or otherwise using the Service, you agree to be bound by these Terms and by our Privacy Policy and Disclaimer, which are incorporated by reference. If you do not agree, do not use the Service.

2. Description of Service

Vrailux provides independent, third-party opinion-based authentication review services for pre-owned luxury and designer goods, including but not limited to handbags, wallets, shoes, clothing, fashion accessories and fashion jewelry ("Items"), performed by trained human reviewers ("Experts"). Vrailux is not a marketplace, escrow service, appraiser of monetary value, insurer, or law enforcement agency.

3. Eligibility & Accounts

  • You must be at least 18 years old (or the age of majority in your jurisdiction) to create an account.
  • You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.
  • You agree to provide accurate, current information when creating an account or submitting an Item.

4. Submissions & User Content

When you submit photos, descriptions or other materials ("Submission Content"), you represent that: (a) you own the Item or are authorized to submit it for review; (b) the Submission Content does not infringe any third party's rights; (c) the Item is not stolen, illegal to own or transfer, or otherwise unlawful; and (d) you grant Vrailux a limited, non-exclusive license to use the Submission Content solely to provide the Service (including generating a certificate and verification record).

Marketing use is separate and always optional. The license in (d) above does not permit Vrailux to use your Submission Content for its own marketing, advertising or social media. Vrailux will only do that if you separately opt in (for example, via the marketing consent checkbox at checkout). Where you do opt in, any photos used are heavily watermarked first and are never paired with anything that identifies you as the submitter. You can withdraw this consent at any time by contacting authenticate@vrailux.app; withdrawing it does not affect your order or any certificate already issued, and does not retroactively remove a post already published before you withdrew.

5. Authentication Results Are Opinions, Not Guarantees

All authentication results, certificates and written opinions provided by Vrailux reflect the professional opinion of a human Expert, formed from the photographs, descriptions and/or physical item provided, at a specific point in time. Results are not a guarantee, warranty, appraisal of value, or legal determination of authenticity, and are provided on an "as-is" basis. See our full Disclaimer for further important limitations.

6. Fees & Payment

Fees for authentication services are shown on our Pricing page and are due at the time of submission unless otherwise agreed. Fees are generally non-refundable once an Expert review has begun, regardless of the result issued, except where required by law or expressly stated otherwise. Where Vrailux determines a cash refund isn't warranted but some remedy is appropriate — for example, an Indeterminate result — Vrailux may, at its sole discretion, issue Store Credit instead; see Section 7.

7. Store Credit

Vrailux may, at its sole discretion, add "Store Credit" to your account — either as a courtesy, or in place of a cash refund (for example, when an order comes back Indeterminate under Section 6). Store Credit is not cash, carries no cash value, cannot be withdrawn, redeemed for cash, or transferred to another account, and is not owed to you as of right — whether and how much to issue is entirely Vrailux's call. Where it is issued, the following applies: it never expires; it is applied automatically to reduce the total of your next order at checkout (you don't choose whether or when — it's simply taken off the top, and any remaining balance is charged normally); it is visible to you at any time on your Dashboard, along with the reason it was issued; and if your account is closed or terminated, any remaining balance is forfeited.

8. Prohibited Uses

  • Submitting counterfeit items for the purpose of learning how to evade detection.
  • Attempting to falsify, alter, forge or resell a Vrailux certificate or verification code.
  • Using the Service to facilitate fraud, money laundering, or the sale of stolen or illegal goods.
  • Interfering with or attempting to disrupt the Service, including automated scraping of the verification database.

9. Intellectual Property

The Vrailux name, logo, website design, certificate design and all related content are the property of Vrailux and may not be copied, reproduced or used without written permission, except as necessary to share a legitimately issued certificate or verification link.

10. Third-Party Marketplaces & Brands

Vrailux is an independent service and is not affiliated with, sponsored by, or endorsed by any brand, marketplace, or platform referenced on this website (including but not limited to eBay, Poshmark, Whatnot, Fashionphile, Vestiaire Collective, The RealReal, Depop, Grailed, Chanel, Louis Vuitton, Hermès, Gucci, Rolex, Cartier, and all other manufacturers and platforms). See our Disclaimer for full details. Vrailux does not control and is not responsible for the policies of any third-party marketplace regarding acceptance of authentication certificates.

11. The Vrailux Feed & For-Sale Listings (Free, Peer-to-Peer Feature)

Vrailux's paid Service is, and remains, exclusively its expert authentication review and certificate-of-authenticity issuance described in Section 2. The "Vrailux Feed," including crowd-sourced legit-check posts and For-Sale listings, is a separate, free feature offered to members as a convenience — comparable to posting in a public social-media group — and is subject to the following additional terms:

  • Vrailux is not the seller. When a member creates a For-Sale listing, Vrailux is merely providing a free posting tool. Vrailux does not sell, offer to sell, list on consignment, broker, or otherwise act as an agent for any item posted, and is not a party to any resulting transaction between members.
  • No commission, fee, or cut. Vrailux does not charge sellers or buyers any commission, listing fee, or percentage of a sale made through the Feed, and receives no compensation tied to whether an item sells, its price, or the outcome of any transaction arranged through the Feed.
  • Members transact at their own risk. Buyers and sellers are solely responsible for negotiating, completing, shipping, paying for, and resolving any dispute arising from a transaction they arrange through the Feed. Vrailux does not provide escrow, payment processing, buyer/seller protection, insurance, or dispute resolution for Feed transactions, and is not responsible for a seller's failure to ship an item, a buyer's failure to pay, or the condition or authenticity of any item exchanged this way.
  • Authenticity is self-declared unless a Vrailux certificate is linked. A seller confirms, at the time of posting, that they believe an item to be authentic to the best of their knowledge. This confirmation is not an authentication, and a Feed listing does not carry Vrailux's endorsement of authenticity unless that specific listing has a Vrailux-issued certificate of authenticity linked to it (verifiable via our certificate verification page). Listings that mention a third-party certification service (e.g. Entrupy, LegitGrails) reflect a representation made by the seller, which Vrailux has not independently verified.
  • Prohibited listings. Members may not use the Feed to list an item they know or suspect to be counterfeit, replica, or otherwise misrepresented. Doing so violates Section 8 (Prohibited Uses) and may result in suspension of the listing and/or the member's account.
  • Sharing to other platforms. The Feed may offer members a share button allowing them to share a Feed post to their own personal Facebook, Instagram, TikTok, or X account. Any such share is initiated by the member using their own credentials on that platform; Vrailux does not post to, or access, any member's personal social media account, and is not responsible for content once shared off of vrailux.app.

12. Limitation of Liability

To the maximum extent permitted by law, Vrailux and its officers, employees and Experts shall not be liable for any indirect, incidental, special, consequential or punitive damages, or any loss of profits, revenue, or data, arising from or related to your use of the Service, even if advised of the possibility of such damages. Vrailux's total liability for any claim arising from the Service shall not exceed the amount you paid for the specific authentication request giving rise to the claim. Because the Vrailux Feed is a free feature (Section 11), Vrailux's total liability for any claim arising from a Feed post or a transaction arranged through the Feed shall not exceed $0.

13. Indemnification

You agree to indemnify and hold harmless Vrailux from any claims, damages, losses or expenses (including reasonable attorneys' fees) arising from your breach of these Terms, your Submission Content, your Feed listings, or your use of the Service.

14. Termination

Vrailux may suspend or terminate your account at any time for violation of these Terms or for any conduct Vrailux believes is harmful to other users, the Service, or third parties.

15. Changes to These Terms

Vrailux may update these Terms from time to time. Continued use of the Service after changes are posted constitutes acceptance of the updated Terms.

16. Governing Law

These Terms are governed by the laws of the jurisdiction in which Vrailux is registered, without regard to conflict-of-law principles. [Vrailux should insert the specific state/country of incorporation and update this clause with legal counsel.]
